The recent Zee Entertainment Enterprises Ltd. merger deal with Sony Pictures Network India Pvt. Ltd. created quite a buzz when both companies received an in-principle approval for merger of their linear networks, digital assets, production operations and program libraries. However, the deal landed in limbo, when Zee’s single largest foreign investor - Invesco Developing Markets Fund, which holds 17.88% stake in Zee requisitioned an EGM, seeking ouster of the media giant’s MD & CEO Mr. Punit Goenka, as also for reconstitution of the Board by appointing six new independent directors named by it. Although a Single Judge Bench of the Bombay High Court has granted an injunction in favour of Zee, restraining Invesco from calling the EGM, the overall turn of events brings to the fore various corporate governance issues that require scrutiny from a legal standpoint.
