Course Background:
Insider Trading has been a regulated activity in India since 1992 and has always been considered as undesirable. Insider Trading is trading in the securities of a Company while being in possession of certain information which is not generally available. The Insider Trading Regulations notified by SEBI underwent a major revamp in the year 2015 when a new set of regulations were notified, followed by major amendments to the same in the year 2019. Insider Trading is prohibited under the Regulations and is considered a crime.

There have been many live cases where individuals and body corporates both in India and abroad have indulged in Insider Trading. SEBI, the Indian regulator for prohibition of Insider Trading has been passing several restraint, disgorgement and other punitive orders in recent times, wherein, compliance officers and employees of companies have also not been spared. Penalties have been levied on them for not complying with the provisions of the SEBI (PIT) Regulations.
