Finance Act, 2021 has brought significant changes in the tax laws governing taxpayers undertaking restructuring and deals. One such notable amendment is depreciation disallowance on goodwill which comes into effect from AY 2021-22, thereby having a pernicious effect due to virtual retroactive effect on the depreciation already claimed by the assessees in the Financial Year 2020-21. On account of this amendment, corporates may have to revisit proposed/in-process business restructuring plans – especially when depreciation on goodwill is one of the significant benefits considered. Another such noteworthy amendment is introduction of deeming fiction on fair value guidelines on transfer of capital assets to slump sale transactions. Slump sale is a popular and quick mode of structuring/ deal activity. These amendments will have far-reaching consequences for M&A and corporate restructuring.
