The Companies (Amendment) Act, 2020, enforced a little while back, seems to be an attempt by the Govt.  to facilitate greater ‘ease of living’ for law-abiding corporates. The Act inter alia decriminalises several offences, by either shifting the ramifications of non-compliance, from fine/imprisonment to penalty. The Act also amends the regime pertaining to payment of remuneration to Independent Directors and Non-Executive Directors. Further, to foster ease of business, the Amendment Act has brought in a special provision, stipulating lesser penalty for startups and small companies.
