The New Companies Act, 2013, which came into force with effect from 1st April, 2014 has introduced many new concepts and regulations into the Companies Act relating, especially, to Directors of Companies. Such concepts and regulations relate to Related Party Transactions, Change in composition of Board with introduction of mandatory appointment of Directors, Evaluation of Directors, Remuneration of Directors etc. This book attempts to consolidate all the relevant provisions in the new Act relating to Directors and present them under convenient topics in the most simple possible way for the benefit of not only the directors of companies but also students of Universities, Management Institutes and Academic Colleges. The Directors of many Companies who are technocrats or those who do not or did not have exposure to Company Law may benefit immensely by this book. It is the earnest expectation of the Author that this objective will be achieved through this book.

At the time of writing this book, National Company Law Tribunal was not constituted. Therefore as per the second proviso to sub-section (1) of section 465 of the Companies Act, 2013, the jurisdiction, functions and powers will continue with the present Company Law Board constituted under the Companies Act, 1956. The jurisdiction regarding winding up of companies, approval of mergers and amalgamations and reduction of capital shall continue with the High Court’s having jurisdiction over the registered office of the company. The jurisdiction regarding revival/rehabilitation of sick companies under Sick Industrial Companies (Special Provision) Act, 1985 shall continue with the Board for Industrial and Financial Reconstruction (BIFR).

The Author graduated through Madras Christian College and proceeded to obtain Master’s Degree in Commerce from the Madras University through Madras Loyola College. Thereafter, he acquired Fellow Membership of the Institute of Company Secretaries of India and Associate Membership of the Institute of Chartered Secretaries and Administrators, London.

            The Author started his career as Assistant Professor of Commerce in Madras Loyola College and after a short stint as Assistant Professor of Commerce in Madras Christian College, joined the Ministry of Corporate Affairs (the then Department of Company Affairs) in the year 1976. During the service in the Ministry of Corporate Affairs, the Author held various Key positions like, Registrar of Companies, Kerala; Registrar of Companies, Maharashtra, Mumbai; Registrar of Companies, Andhra Pradesh; Registrar of Companies, Tamil Nadu, Andaman and Nicobar Island; Joint Director of the Serious Fraud Investigation Office, New Delhi. The Author was also a member of the team deputed by the Ministry of Corporate Affairs to United Kingdom to study the working of the Registrar of Companies and Serious Fraud Office, United Kingdom, London.
