This book is intended for the individuals aspiring to qualify Independent Director’s exam conducted by Indian Institute of Corporate Affairs (IICA). It is equally useful for those dealing with the corporate world. The book have been designed keeping in mind to serve all the purposes for reader to have a thorough knowledge of Company Law, need to have Independent Director on Board, to clear Online Proficiency Test conducted by IICA, to have glimpse of Financial Statements and Auditor’s Report and to know about few cases in recent years, which has been in public debate due to their failure in ensuring corporate governance.

The book comprises of 44 Chapters. Chapter 1 is the general introduction to the ‘Overview of data bank for Independent Directors’ in which role of independent directors, Provisions of Companies Act, 2013, MCA Rules related to databank are contained. Chapter 2 deals with the Procedure for How an Individual can get himself registered on IICA Data Bank and details about the Online Proficiency Test for Independent Directors. Chapter 3 to 37 are as per IICA Syllabus in which examinee can have thorough knowledge for clearing the Online Proficiency Test conducted by IICA for inclusion of name of the individual in the Independent Director’s Data Bank. Lastly, Chapter 38 to 44 contains the case studies based on real Corporate Cases in the recent past.

He has also successfully completed his Law degree from Chaudhary Charan Singh University, Meerut. He has also successfully completed the Indirect Taxes Certification Course and DISA course conducted by ICAI along with Registered Valuers Course conducted by IBBI. Post qualification he was part of the core transaction support team at one of the Big-4s with involvement in both buy side and sell side mandates. He is also a regular speaker at various study circles organized by ICAI in relation to GST.
