This book contains detailed analysis of the Companies (Amendment) Act, 2017 along with summary of recommendations of the Companies Law Committee and the Standing Committee on Finance. The analysis is in relation to the extant provisions of the Companies Act, 2013 and the Rules made thereunder. The amendments to the section of the Companies Act, 2013 by way of Companies (Amendment) Act, 2017 will require modification of the corresponding Rules. This book provides necessary reference to the required modification in the related Rules.

The book also contains a summary in tabular format on the key amendments relating to private company, public company (listed or unlisted), directors and key managerial personnel, statutory auditor, tribunal, appellate tribunal and special courts. All the provisions of the Companies (Amendment) Act, 2017 have an impact on the working of company secretaries (in employment or practice).

In the meantime, the Ministry of Corporate Affairs has notified section 1 and section 4 of the Companies (Amendment) Act, 2017. Section 1 of Companies (Amendment) Act, 2017 states that the Amendment Act shall come into force on such date as the Central Government may, by notification in the Official Gazette, appoint. Section 4 of the Companies (Amendment) Act, relates to the procedure for name approval. On February 9, 2018, several sections of the Companies (Amendment) Act, 2017 have been notified.
