2020 is the first year in which the shareholders meetings will be conducted virtually. The meetings will be convened and conducted in accordance with the guidelines issued by the MCA and the SEBI, as applicable. This book is an analysis of the relevant provisions of the Companies Act, 2013 and Rules made thereunder, w.r.t. conducting board meetings and shareholders meetings through video-conferencing or other audio-visual means, frequently asked questions (FAQs) and checklist of conducting such meetings. There are references to relevant provisions of the Secretarial Standards issued by the ICSI.

Initially, there is a detailed discussion on basic provisions around meetings and the precedents through case laws relating to the powers of board of directors, meetings of the board of directors and shareholders. There is also a discussion on the principles governing disclosures & obligations of listed entities under SEBI Listing Regulations, 2015 vis-à-vis provisions of Virtual Meetings. The future of Virtual Meetings under Companies Act, 2013 is also part of the book.

The book attempts to empower the professionals in conducting or assisting in conducting such meetings with due cognizance to the rights of any stakeholders. The purpose of this book is also to ensure that the company adopts the best corporate governance practices while conducting such virtual meetings.
